Job Description:
Our client, a leading insurance company located in Colombo, is seeking a highly qualified and experienced Company Secretary to join their team. This role is crucial in ensuring corporate governance, compliance, and legal adherence within the organization.
Qualifications:
- LLB / Attorney-at-Law; LLM preferred.
- Associate/Fellow Member of the Chartered Governance Institute (ICSA/CGI) or equivalent professional body.
- Minimum 5+ years’ experience in legal, compliance, or company secretarial functions, preferably in a listed or Insurance company.
- Proven experience handling corporate governance, compliance, and board advisory functions.
- Familiarity with insurance, financial services, and capital markets regulations.
Responsibilities:
- Monitor compliance with legislation, regulations, and corporate governance requirements.
- Draft, review, and renew contracts, agreements, MOUs, and policy documents to safeguard company interests.
- Provide legal guidance on litigation and coordinate with external lawyers to ensure effective case management.
- Manage all IRCSL, ROC, and regulatory filings within deadlines.
- Act as custodian of the company seal and maintain statutory records.
- Document board meetings and prepare accurate minutes.
- Lead and develop the Legal & Company Secretarial team, ensuring performance and professional growth.
